Supplemental Terms

All capitalized terms used but not defined in this Amendment have the meanings given to them in the Agreement. For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree to amend the Agreement as follows:

1. Vendor shall ship all product using their own carrier accounts

1. Vendor shall ship all product either: (1) using their own carrier accounts, or (2) using Maisonette’s carrier accounts while being billed at a determined % of the total annual revenue.

Section 3 of the Cover Page of the Agreement and Section 8.5 of the Terms and Conditions of the Agreement are modified to remove the condition that the Merchant Fee will be waived for transactions where the Fulfillment Time is one (1) Business Day or less. All transactions are subject to, and Vendor agrees to pay, a 3% Merchant Fee for all transactions, regardless of the Fulfillment Time.

2. The No-Stock Cancellation Fee of $10.00 shall be charged for each cancellation or rejection of an Order for any reason (e.g., not only for No-Stock Cancellations).

3. Vendor shall pay a fee of $2.00 per Order for each Order containing Vendor Products for which Vendor failed to provide Maisonette with accurate weights and dimensions of the Vendor Products in the Order at or before the time the Order is processed.

4. Effective as of the later of the Effective Date of the Agreement or January 1, 2022, Vendor shall pay a flat fee of $5.00 per return for all returns, regardless of the reason for the return or the item/vendor category, and all exchanges shall be treated as returns for purposes of this fee.

5. Vendor shall be charged a fee of $10.00 for each Wrong Item Exchange.

6. Maisonette may modify the Terms and Conditions of the Agreement at any time by providing written notice to Vendor and such modifications will be posted online at https://www.maisonette.com/ under “Supplemental Terms.” The modified Terms and Conditions shall be incorporated by reference into the Agreement as of the time they are posted.

7. Except to the extent expressly modified by the terms of this Amendment, all of the terms of the Agreement shall remain in full force and effect.

In the event of any conflict between these Supplemental Terms and the Agreement, these Supplemental Terms shall govern and take precedence.
